## Token Grant Administration

### Grant

A token grant is an award of tokens to an employee, contractor, or investor. Grants typically have vesting schedules that determine when the recipient can claim their tokens.

### Vesting

Vesting is the process by which a recipient earns the right to their tokens over time. Common vesting structures include:

* **Cliff vesting** — No tokens vest until a specific date (e.g., 1 year)
* **Linear vesting** — Tokens vest evenly over time (e.g., monthly over 4 years)
* **Milestone vesting** — Tokens vest when specific goals are achieved

### Distribution

A distribution is the actual transfer of vested tokens from your organization to a recipient's wallet.

### Cap Table

A record of all token grants and ownership in your organization, showing who owns what and how much has vested.

## Toku Contractor

### Contractor

An independent worker engaged by your organization on a contract basis, rather than as an employee.

### Invoice

A request for payment submitted by a contractor for work completed. Invoices include details like hours worked, rates, and total amount due.

### Engagement

The contractual relationship between your organization and a contractor, including terms, rates, and scope of work.

## Stablecoin Payroll

### Stablecoin

A cryptocurrency designed to maintain a stable value, typically pegged to a fiat currency like USD. Common stablecoins include USDC and USDT.

### Payroll Run

A scheduled payment to employees, including salary, bonuses, and any deductions.

### Withholding

The portion of an employee's pay that is held back for taxes or other deductions before payment is made.

### Payout Method

How an employee chooses to receive their pay — traditional bank transfer, stablecoin to a crypto wallet, or a combination.

## General Terms

### Custody Provider

A service that securely stores digital assets (tokens, stablecoins) on behalf of organizations. Toku integrates with providers like Fireblocks and Anchorage.

### Wallet

A digital account where tokens and stablecoins are stored. Recipients need a wallet address to receive crypto payments.

### KYC (Know Your Customer)

Identity verification required for compliance. Recipients may need to complete KYC before receiving payments.
